BY COMPLETING THE ENROLLMENT PROCESS, YOU AGREE TO THE TERMS
OF THIS SUBSCRIBER AGREEMENT, JUST AS IF YOU HAD SIGNED THE SUBSCRIBER
AGREEMENT. IF YOU DO NOT WISH TO BE BOUND BY THIS SUBSCRIBER AGREEMENT,
PLEASE DO NOT COMPLETE THE ENROLLMENT PROCESS.
This Web site (the "Web site") is offered to you (hereinafter
referred to as "subscriber") subject to your acceptance without
modification of the terms, conditions, and notices contained herein.
Subscriber's use of this Web site constitutes subscriber's agreement
to all such terms, conditions, and notices. The right to use this
Web site and any other product or service offered by Wall Street
Strategies, Inc. ("WSS"), is personal to subscriber and is not
transferable by assignment, sublicense, or any other method to
any other person or entity.
SUBSCRIBER INFORMATION
Subscriber shall provide WSS with accurate, complete and updated
information as to his or her name and email address provided by
subscriber at registration. Failure to do so shall constitute
a breach of this agreement. Subscriber may not (i) choose or use
a username or email address of any other person with the intent
to impersonate that person; (ii) use a username or email address
subject to the rights of any person other than subscriber without
authorization; (iii) use a username in violation of the intellectual
property rights of any person; or (iv) use a username that WSS,
in its sole discretion, deems offensive.
USE LIMITATION
The information available through the Web site is the property
of WSS or its information providers and is protected by copyright
and other intellectual property laws. This Web site is for subscriber's
personal and non-commercial use. Subscriber may not modify, copy,
distribute, transmit, display, reproduce, broadcast, circulate,
publish, license, create derivative works from, transfer, or sell
any information, software, products or services obtained from
this Web site, except that one copy of the information may be
downloaded or printed for personal noncommercial use. Subscriber's
transmission to any other persons will constitute a breach of
this agreement, will result in forfeiture of the balance of Subscriber's
subscription without refund, and may be a basis for other legal
actions.
PASSWORD DISCLOSURE
Subscriber acknowledges that his or her right to use this Web
site and any other products or services offered by WSS is personal
to subscriber and may not be transferred to any other person or
entity by assignment, sublicense, or any other method. Any attempt
to transfer subscriber's right to use this Web site is void and
shall constitute a breach of this Agreement. Subscriber shall
take any and all actions necessary to maintain the privacy of
his or her password. If subscriber has reason to believe that
any third party has access to subscriber's account, subscriber
shall promptly change his or her account password by going to
the "User Profile" portion of the Web site and following the instructions
listed. If any such problem persists, Subscriber shall notify
WSS (by notice given to help@wstreet.com.) Subscriber must promptly
notify WSS of any apparent breaches of security, such as loss,
theft, or unauthorized disclosure or use of an ID or password.
Until WSS is notified, by e-mail or by telephone of a breach in
security, subscriber will remain liable for any unauthorized use
of the Service.
NON SOLICITATION
Subscriber agrees not to solicit privately, publicly or by any
means, WSS subscribers for the purpose of promoting any competing
or non-competing services. Without limiting the foregoing, Subscriber
shall not collect contact information from individual subscribers
and/or contact individual subscribers to "inform" them of other
services. Solicitation of other subscribers will result in immediate
termination of subscriber's access to WSS and the Web site, and
may be a basis for other legal action.
BILLING POLICY
Unless and until this subscription
agreement is canceled by email, info@wstreet.com , or telephone,
(212) 514-9500, and an acknowledgement of cancellation is received
by Subscriber, Subscriber hereby authorizes Wall Street Strategies
(WSS) or its authorized agent to charge Subscriber's credit card
to pay for the ongoing monthly, quarterly or annual subscription
cost. Subscribers must promptly inform WSS of any changes in the
preferred payment method, expiration dates of credit cards previously
used for WSS subscriptions, email address and any unauthorized
use or disclosure of an username, password or apparent other breach
in security of Subscriber's account by email, info@wstreet.com,
or telephone, (212) 514-9500. Until Subscriber notifies WSS by
email or telephone regarding any above mentioned breach of security,
Subscriber shall remain liable for any use of associated WSS Subscription
services. Payment for subscription services will be made by automatic
credit card debit and automatically renewed, without prior notice,
for the original term upon expiration, unless WSS is notified
by email or telephone 3 days prior to membership expiration. Billing
periods begin when WSS confirmations are sent out and subsequent
renewal due dates are determined according to the date of the
month service is initiated. That is, if service is activated on
01-14-2008, then the due date is the 14th of each month (or quarter
or annum if paid as such). Subscription to WSS services may be
canceled at any time with the exception of the first month of
the current subscription billing cycle. Upon cancellation of quarterly
or annual subscriptions, WSS will issue a credit to Subscriber's
credit card for unused portion of the subscription cost prorated
as if being paid per published quarterly cost. Subscriber must notify
WSS by email or telephone of cancellation before the end of the
current billing cycle. Subscribers are liable for charges incurred
by them until termination of service. Cancellation of service
is not official until Subscriber receives email confirmation from
WSS. If Subscriber does not receive a cancellation confirmation
within 24 hours of request (excluding weekends and holidays),
Subscriber must email, info@wstreet.com, or telephone WSS offices
at (212) 514-9500 to re-submit the cancellation and verify that
his/her email address is correct.
From time to time, WSS may provide promotional offers, which may supersede this billing policy.
INDEMNIFICATION
Subscriber agrees to indemnify and hold WSS, its employees, its officers,
and its agents harmless from and against any and all claims, damages, obligations,
losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees)
arising from Subscriber's use of this Web site or from Subscriber's violation of this
Agreement or any third party's rights including but not limited to copyright, property,
and privacy rights. This indemnification and hold harmless obligation will survive this
Agreement and subscriber's use of this Web site.
DISCLAIMER
I have read the disclaimer
[appearing in the "Disclaimers" section of the Web site] and understand
and acknowledge the risk involved. Such disclaimer is incorporated
by reference into this Agreement and made a part hereof.
